kdc/one is a dynamic and expanding organization with subsidiaries located in 14 countries.

We are seeking a highly skilled Corporate Records Coordinator to join our Legal Affairs Department.

This role will play a pivotal part in maintaining all corporate files and records for the entire kdc/one group, providing support to various strategic projects, and ensuring compliance with international regulations.

Job Description

  • Coordinate the preparation of documentation for corporate registry filings, intercompany operations, and treasury activities.
  • Direct external legal advisors worldwide mandated by kdc/one for record-keeping purposes.
  • Ensure updates to minute books and corporate registers of kdc/one's subsidiaries using an entity management tool.
  • Assist in closing M&A, refinancing, and other special projects, as well as due diligence searches.
  • Act as the primary point of contact for 'know your client' (KYC) and 'ultimate beneficial owner' (UBO) requests.
  • Update the corporate organization chart of kdc/one and its subsidiaries accordingly.
  • Collaborate with the Corporate Secretary in preparing board meetings and internal quarterly processes.
  • Participate in standardizing corporate legal processes.
  • Act as an intermediary and coordinate/confirm legal and corporate information required by other departments.

Requirements

  • A paralegal certificate from an accredited program or degree in a relevant field is preferred.
  • More than three years of experience within an in-house legal department and/or law firm.
  • Experience with international entity management is considered an asset.
  • Determination, attention to detail, and ability to manage multiple files methodically.
  • Able to meet deadlines in a fast-paced environment and demonstrate flexibility.
  • Excellent written and verbal communication skills, including proficiency in English and French.
  • Familiarity with MS Office, SharePoint, OneDrive, and Visio.
  • Knowledge of governance software such as Diligent is considered an asset.

Compensation

The estimated salary for this position is approximately $65,000-$85,000 per year, depending on experience. Benefits include comprehensive health insurance, retirement savings plan, and opportunities for professional growth and development.
