Position Overview

We are seeking a dedicated Corporate Law Clerk to provide comprehensive legal support within a reputable law firm. The ideal candidate will possess a strong background in corporate law and demonstrate exceptional organizational skills.

Key Responsibilities
  • Perform full legal clerical duties of a confidential nature for multiple attorneys.
  • Demonstrate knowledge of relevant legislation including the Ontario Business Corporations Act and Canada Business Corporations Act.
  • Prepare documentation for corporate transactions such as incorporations, amendments, and dissolutions.
  • Maintain and update corporate minute books, ensuring compliance with regulatory requirements.
  • Draft complex share structures and documents related to corporate reorganizations.
  • Conduct thorough corporate due diligence searches and analyze findings.
  • Manage filing systems and databases, ensuring regular updates and accuracy.
  • Facilitate communication with clients and public officials, scheduling meetings and addressing inquiries.
  • Handle routine correspondence and initiate follow-up actions as necessary.
Qualifications

The successful candidate will have:

  • A minimum of 5 years of experience as a corporate legal assistant or law clerk.
  • Strong verbal and written communication skills.
  • Proficiency in Microsoft Office and experience with legal software.
  • Excellent attention to detail and the ability to work independently.
  • A proactive approach and the ability to prioritize tasks effectively.
