Our banking and corporate team in Ottawa is highly regarded for its significant experience in a broad range of regional, national and international banking and finance matters and corporate and other transactions across the full spectrum of industries. We are well positioned to provide strategic, business-oriented legal advice on a range of complex banking, finance, and corporate matters and transactions, including project and acquisition finance, secured lending, debt and equity capital markets matters, mergers and acquisitions, private placements, venture capital transactions, and general commercial and corporate advisory matters.

We are looking to add to the existing strength of our team by bringing in a Corporate Law Clerk with extensive corporate experience in financings and acquisitions and other general corporate matters, including incorporations, amendments, continuances, amalgamations, dissolutions and other reorganizations. The successful candidate will assist with project management, and have responsibility for document preparation in connection with the foregoing as well as: maintaining and updating corporate minutes books; conducting minute book reviews and providing summaries relating to same; maintaining and updating lists of active and inactive companies; assisting with conducting corporate due diligence and extra-provincial, business name, partnership and other registrations; and performing corporate and PPSA searches and filings.

The ideal candidate will possess a Law Clerk Diploma/Certificate and will also have:

  • 5 to 8 years of related experience;
  • understanding of corporate statutes (Ontario Business Corporations Act, Canada Business Corporations Act, and not-for-profit, non-share capital corporate statutes (Federal and Ontario)) and other applicable policies and procedures;
  • strong drafting, organizational, time management and multi-tasking skills;
  • exceptional client service, teamwork and interpersonal & communication skills; and
  • an ability to take initiative and work independently when appropriate.

While not required, bilingualism and knowledge of EnACt would be considered assets.
