Law Clerk

Tataryn Law provides expert legal services and advice on business and tax law issues. We are looking for an experienced corporate clerk to maintain the Minute Books and assist with corporate reorganizations and incorporations and general office support and organizational duties.
**RESPONSIBILITIES**
- Corresponding and communicating with clients
- Preparing documents and filing for general corporate matters including incorporations, amendments, continuances, amalgamations, dissolutions, and other reorganizations
- Assisting counsel with other business transactions and documents such as purchase or sale of shares or business assets, shareholder agreements; and the like
- Maintaining and updating corporate minute books, both with respect to transactional changes and routine annual matters, and inclusive of filings for annual returns or notices of change
- Conducting minute book reviews, identifying deficiencies and creating summaries
- Maintaining and updating lists of active and inactive companies
- Registering and maintenance of extra provincial registrations and business names
- Performance of corporate searches including but not limited to profile reports, PPSA etc.
- General office support with respect to all work of the firm, including tax dispute matters
- Preparing invoices and reporting letters
- Taking calls and screening potential clients
- Good team-focused communication skills.
- Law Clerk diploma coupled with at least 3 years legal experience as a Corporate Law Clerk/Paralegal in the Province of Ontario
- Strong knowledge of Microsoft Office, and Adobe Acrobat. Some knowledge of Appara Document Management preferable
- Understanding and familiarity of corporate statutes and other applicable policies and procedures
- Team player with strong communication and telephone skills
- Self
- starter with strong organizational skills and ability to prioritize tasks
- Excellent writing skills required to draft documents, reports and correspondence
- Competent in the Microsoft Suite of programs; knowledge of Appara an asset
- Initiative to research unfamiliar procedures and terminology.
