Corporate Law Clerk Specialist

About the Role: Our private-sector client seeks a corporate law clerk with expertise in commercial or corporate law to assist with legal document preparation, Minute Book management, transactions, and more.
About You: To succeed in this role, you will need 5+ years of experience as a corporate/commercial law clerk, strong knowledge of legal procedures and statutes (ON & CA Business Corporations Acts), and a law clerk diploma or equivalent experience and education. Experience with Athennian, OnCorp, and MS365—Net Documents would be an asset.
Duties and Responsibilities:
- Prepare documents for incorporations, amendments, reorganizations, extra-provincial registrations, and Ontario business name registrations and withdrawals
- Administrate Minute Books: updating records with Ontario Ministry, Companies Branch, and Corporations Canada
- Assist in share/asset transactions and debt/equity finance transactions
- Manage client files, prepare reports, organize closing documents
- Conduct corporate searches (PPSA, Writs, Bankruptcy, Bank Act, Litigation)
- Prepare and file annual returns
- Conduct name/NUANS searches, prepare draft communication for name denials
