Corporate Law Clerk

We are seeking a highly skilled Corporate Law Clerk to join our team at TAG HR in Ottawa. As a Corporate Transactions Specialist, you will be responsible for preparing and reviewing corporate documents, managing ongoing corporate maintenance, and determining processes compliance with laws and regulations.
Key Responsibilities:
- Prepare and review corporate documents, including governance, incorporation, amendments, dissolution, tax reorgs, and share & asset purchases
- Update and review corporate minute books
- Manage ongoing corporate maintenance, searches, filings, and registrations
- Determine processes compliance with laws and regulations
- Draft documents for corporate transactions, mergers, acquisitions, purchase agreements, etc.
- Communicate with clients, lawyers, and stakeholders
- Assist with general corporate tasks as needed
- Handle administrative duties, including email, calendars, meetings, correspondence, and printing
- Process dockets, billing, and accounts receivable
- Organize client files using doc management system
Requirements:
- At least one year of experience as a Law Clerk
- Post-secondary degree as a Law Clerk
- Experience with professional corporations and not-for-profit organizations is an asset
- PC skills: MS Office, Document Management software, and PC Law and/or Soluno (legal accounting software)
- Collaborative skills to work with lawyers, other clerks, and staff
- Independent reasoning on client files

The estimated salary range for this role is $60,000-$90,000 per year, depending on experience.
