Position Overview:

The role of Senior Legal Counsel at Acuren Inspection, Inc. is designed to deliver comprehensive legal guidance on a variety of organizational matters, particularly in the realms of commercial and construction services contract negotiation, litigation management, employment law, privacy regulations, and commercial leasing. This position may also entail mentoring and directing contract specialists in the future.

We seek a legal professional who thrives on diverse challenges, can effectively engage with employees across all organizational levels, and possesses the capability to negotiate adeptly with clients and external parties. The ideal candidate will be an integral part of a dynamic legal team composed of contract specialists, paralegals, and legal support staff. Attributes such as resourcefulness, resilience, efficiency, professionalism, and a strong work ethic will be highly valued.

This position offers a hybrid work arrangement from any of our Canadian locations.

Key Responsibilities:

Facilitate corporate and divisional legal requirements by:

  1. Delivering legal insights and opinions on a broad spectrum of issues;
  2. Serving as the legal authority on local operational matters;
  3. Supporting activities related to mergers and acquisitions;
  4. Addressing issues related to restrictive covenants;
  5. Resolving disputes involving the company and external parties;
  6. Assisting in the recovery of outstanding debts;
  7. Consulting with management on sensitive and confidential issues;
  8. Conducting discovery and due diligence for litigation, transactions, financing, or M&A activities.

Enhance complex commercial contract processes by:

  1. Drafting, reviewing, and finalizing intricate commercial agreements;
  2. Guiding contract managers in their drafting practices;
  3. Addressing specific contractual disputes with client legal representatives;
  4. Preparing responses and memoranda of understanding and other legal documents;
  5. Sharing expertise in technical, commercial, and contractual matters to ensure efficient bid preparation.

Proactively manage risk by:

  1. Providing recommendations for best practices in corporate compliance;
  2. Collaborating with senior leadership and supporting the General Counsel in developing risk management strategies and organizational policies;
  3. Assessing and coordinating litigation management under the direction of the General Counsel;
  4. Identifying and evaluating potential legal issues related to business initiatives, particularly those with significant visibility and risk, and formulating recommendations to mitigate risk while achieving business goals.
Qualifications:

In addition to a bachelor’s degree, candidates must possess a Law Degree and be a member in good standing of the relevant provincial Law Society. A minimum of five (5) years of legal experience is required, with prior in-house or business experience considered advantageous. Familiarity with industrial service companies and issues related to industrial or construction law, whether through litigation or contract negotiation, is preferred.

Candidates should demonstrate knowledge and understanding in the following areas:

  1. Proficiency in contract law and the ability to interpret and negotiate contract terms;
  2. A broad understanding of various legal specialties, including employment, labor, leasing, ethics and compliance, claims management, and privacy;
  3. Capability to manage multiple litigation cases effectively with insurers and external counsel;
  4. M&A experience is a plus;
  5. Ability to efficiently oversee the use of external legal counsel as necessary.

  7. Service-oriented mindset with the ability to build trust within a professional network;
  8. Excellent interpersonal skills and high emotional intelligence.
