Key Responsibilities:Facilitate corporate and divisional legal needs by:
- Delivering legal insights and opinions on a wide array of issues;
- Serving as the legal authority on local operational matters;
- Supporting merger and acquisition initiatives;
- Addressing issues related to restrictive covenants;
- Resolving disputes with third parties;
- Assisting in the recovery of outstanding debts;
- Consulting with management on sensitive and confidential matters;
- Conducting discovery and due diligence on various records for litigation, transactions, or financing.
Enhance complex commercial contract activities by:
- Drafting, reviewing, and finalizing intricate commercial agreements;
- Guiding contract managers in their drafting processes;
- Addressing specific contractual disputes with client legal teams;
- Preparing responses and legal documents such as memoranda of understanding;
- Sharing expertise in technical, commercial, and contractual matters to ensure efficient bid preparation.
Proactively manage risk by:
- Providing recommendations for corporate compliance best practices;
- Collaborating with senior leadership and the General Counsel to develop risk management strategies and organizational policies;
- Assessing and coordinating litigation management under the direction of the General Counsel;
- Identifying potential legal issues related to business initiatives and proposing solutions to mitigate risks.
In addition to a bachelor's degree, candidates must possess a Law Degree and be a member in good standing of the relevant provincial Law Society. A minimum of five years of legal experience is required, with prior in-house or business experience being advantageous. Familiarity with industrial service sectors, particularly in construction or litigation contexts, is preferred.
The position necessitates knowledge and understanding in the following areas:
- Proficiency in contract law and the negotiation of contract terms;
- A broad understanding of various legal specialties, including employment, labor, leasing, ethics, compliance, claims management, and privacy;
- Experience managing multiple litigation cases effectively;
- M&A experience is a plus;
- Ability to efficiently utilize external counsel as needed.
