Position Overview:

The role of Legal Advisor - Corporate Affairs is crucial in delivering strategic legal guidance on a variety of organizational matters, with a strong emphasis on the interpretation and negotiation of commercial and construction service contracts, litigation management, employment law, privacy regulations, and commercial leasing agreements. This position may also entail leading and mentoring contract specialists in the future.

We seek a legal professional who thrives on diverse challenges, possesses the ability to connect with employees across all organizational levels, and can effectively engage in negotiations with clients and external parties. The ideal candidate will be an integral part of a dynamic legal team, which includes contract specialists, paralegals, and legal support staff. This position offers the flexibility of a hybrid work arrangement from various locations.

Key Responsibilities:

Facilitate corporate and divisional legal needs by:

  1. Delivering legal insights and opinions on a wide array of issues;
  2. Serving as the legal authority on local operational matters;
  3. Supporting merger and acquisition initiatives;
  4. Addressing issues related to restrictive covenants;
  5. Resolving disputes with third parties;
  6. Assisting in the recovery of outstanding debts;
  7. Consulting with management on sensitive and confidential matters;
  8. Conducting discovery and due diligence on various records for litigation, transactions, or financing.

Enhance complex commercial contract activities by:

  1. Drafting, reviewing, and finalizing intricate commercial agreements;
  2. Guiding contract managers in their drafting processes;
  3. Addressing specific contractual disputes with client legal teams;
  4. Preparing responses and legal documents such as memoranda of understanding;
  5. Sharing expertise in technical, commercial, and contractual matters to ensure efficient bid preparation.

Proactively manage risk by:

  1. Providing recommendations for corporate compliance best practices;
  2. Collaborating with senior leadership and the General Counsel to develop risk management strategies and organizational policies;
  3. Assessing and coordinating litigation management under the direction of the General Counsel;
  4. Identifying potential legal issues related to business initiatives and proposing solutions to mitigate risks.
Qualifications:

In addition to a bachelor's degree, candidates must possess a Law Degree and be a member in good standing of the relevant provincial Law Society. A minimum of five years of legal experience is required, with prior in-house or business experience being advantageous. Familiarity with industrial service sectors, particularly in construction or litigation contexts, is preferred.

The position necessitates knowledge and understanding in the following areas:

  1. Proficiency in contract law and the negotiation of contract terms;
  2. A broad understanding of various legal specialties, including employment, labor, leasing, ethics, compliance, claims management, and privacy;
  3. Experience managing multiple litigation cases effectively;
  4. M&A experience is a plus;
  5. Ability to efficiently utilize external counsel as needed.
