The ideal candidate will be an integral part of a dynamic legal team composed of contract specialists, paralegals, legal assistants, and other professionals. This position offers a hybrid work model from various Canadian locations.

Key Responsibilities:

Facilitate corporate and divisional legal requirements by:

  1. Providing legal counsel and insights on a broad spectrum of issues;
  2. Serving as the legal authority on local operational matters;
  3. Supporting activities related to mergers and acquisitions;
  4. Addressing preparation and non-compliance with restrictive agreements;
  5. Resolving ongoing or potential disputes with third parties;
  6. Assisting in the recovery of outstanding debts;
  7. Consulting and advising management on sensitive and confidential issues;
  8. Conducting discovery and due diligence of various records in preparation for litigation, transactions, financing, or M&A activities.

Enhance complex commercial contract processes by:

  1. Drafting, reviewing, and finalizing intricate commercial agreements;
  2. Guiding contract managers in their drafting efforts;
  3. Addressing specific contractual disputes with client legal representatives;
  4. Preparing responses, memoranda of understanding, and other legal documents;
  5. Sharing technical, commercial, and contractual knowledge with team members to ensure efficient bid preparation.

Proactively mitigate risks by:

  1. Offering best practice recommendations for corporate compliance;
  2. Collaborating with senior leadership and supporting the General Counsel in developing risk avoidance and mitigation strategies, along with organizational policies and standards;
  3. Assessing and coordinating litigation management under the direction of the General Counsel, including instructing external counsel as necessary;
  4. Identifying and evaluating potential legal issues related to business initiatives, especially those with high visibility and risk, and proposing solutions to minimize risk while achieving business goals.
Qualifications:

Alongside an undergraduate degree, this position requires a Law Degree and active membership in the relevant provincial Law Society. A minimum of five (5) years of legal experience is essential, with prior in-house or business experience considered advantageous. Familiarity with industrial service companies and industrial or construction matters, whether through litigation or contract negotiation, is preferred.

The candidate should possess knowledge and understanding in the following areas:

  1. Proven understanding of contract law and expertise in interpreting and negotiating contract terms;
  2. Extensive knowledge across various legal specialties, including employment, labor, leasing, ethics and compliance, claims management, privacy, and insurance;
  3. Ability to effectively manage multiple litigation cases with insurers and external counsel to achieve timely resolutions;
  4. M&A experience is a plus;
  5. Proficiency in managing the use of outside counsel as required.
