We are seeking a motivated and diligent professional to take on the role of Corporate Law Clerk. This position offers a chance to work with a leading firm in the industry, along with a competitive salary and benefits package.

Key Responsibilities:

  • Compose and send correspondence to clients and accountants regarding corporate matters for attorney review and signature. Ensure timely delivery through appropriate channels (e.g., fax, email, courier).
  • Assist in maintaining corporate minute books and records, ensuring accurate data entry into the corporate database.
  • Request and evaluate preliminary and comprehensive NUANS reports, Certificates of Status, and Profile reports.
  • Draft annual resolutions and minutes of meetings as necessary.
  • Prepare various types of dividends, bonus resolutions, and certified copies as required.
  • Update corporate lists with newly received companies and maintain accurate records of addresses, directors, shareholders, and officers.
  • Prepare responses to audit inquiries as needed.
  • Draft and submit business name registrations, as well as limited and general partnership registrations and renewals.
  • Complete and file Form 1 NOC with the Ministry when there are changes in addresses, directors, or officers.
  • Prepare annual returns as required.
  • Support senior law clerks in the preparation of client correspondence, invoices, closing reports, and transactional documents, including agreements and ancillary resolutions.

Qualifications:

  • At least 1 year of experience in a similar role within a Corporate Law environment.
  • A diploma in Legal Administration or a Law Clerk program, or equivalent experience.
  • Proficiency in current Windows operating systems and Microsoft Office Suite.
  • Familiarity with Fastco, Cyberbahn, and Legal Accounting Software.

  • The ability to work independently as well as collaboratively with attorneys and colleagues.
  • Capability to perform efficiently under pressure while managing simultaneous deadlines.
