Job Summary

The Assistant General Counsel, Mergers & Acquisitions will provide strategic legal support to the General Counsel, senior business leaders, and corporate development teams at SGS North America. This role will involve conducting due diligence, drafting and reviewing legal documents, coordinating with internal and external stakeholders, and ensuring compliance with legal and regulatory requirements.

Key Responsibilities
  • Develop and implement legal strategies to support business growth and transactions.
  • Conduct thorough due diligence on potential acquisitions and divestitures.
  • Draft and review complex transaction documents, including agreements and contracts.
  • Coordinate with internal and external stakeholders to ensure seamless execution of transactions.
  • Manage outside counsel and ensure compliance with legal and regulatory requirements.
  • Provide general counseling to senior management on acquisition and business strategies.
  • Participate in special projects and initiatives as needed.
Requirements
  • Juris Doctor degree from an accredited law school.
  • 5-7 years of experience as a practicing M&A attorney, preferably with both private practice and in-house experience in the US and Canada.
  • Member of the New Jersey State Bar or eligible for the NJ in-house counsel license.
