Job Summary

The Assistant General Counsel, Mergers & Acquisitions will provide strategic legal support to the General Counsel, senior business leaders, and corporate development teams at SGS North America. This role will involve conducting due diligence, drafting and reviewing legal documents, coordinating with internal and external stakeholders, managing outside counsel, and ensuring compliance with legal and regulatory requirements.

Key Responsibilities
  • Develop and implement legal strategies to support business goals and growth.
  • Conduct thorough due diligence on potential transactions, including reviewing financial statements, contracts, and other relevant documents.
  • Draft and review complex transaction documents, including merger agreements, asset purchase agreements, and joint venture agreements.
  • Coordinate with internal and external stakeholders, including business leaders, outside counsel, and regulatory agencies.
  • Manage outside counsel and ensure compliance with legal and regulatory requirements.
  • Provide general counseling to senior management on acquisition and business strategies.
  • Participate in special projects and initiatives as needed.
Requirements
  • Juris Doctor degree from an accredited law school.
  • 5-7 years of experience as a practicing M&A attorney, preferably with both private practice and in-house experience in the US and Canada.
  • Member of the New Jersey State Bar or eligible for the NJ in-house counsel license.
Preferred Qualifications
  • Experience with Microsoft Office, including Excel, Word, and PowerPoint.
  • Strong analytical, problem-solving, and interpersonal skills.
  • Ability to work effectively and efficiently in a fast-paced environment.
