Job Summary

The Assistant General Counsel, Mergers & Acquisitions plays a critical role in supporting the General Counsel and senior business leaders of SGS North America in all aspects of acquisitions, divestitures, joint ventures, and other transactions. This includes conducting due diligence, drafting and reviewing legal documents, coordinating with internal and external stakeholders, and ensuring compliance with legal and regulatory requirements.

Key Responsibilities

  • Develop and implement strategies for mergers and acquisitions, including conducting market research and analyzing financial data.
  • Manage and coordinate multiple projects simultaneously, prioritizing tasks and meeting deadlines.
  • Collaborate with cross-functional teams, including business development, finance, and operations, to drive business growth and success.
  • Provide expert legal counsel to senior management on acquisition and business strategies, ensuring compliance with laws and regulations.
  • Participate in special projects and initiatives, leveraging expertise and experience to drive business outcomes.

Requirements

  • Juris Doctor degree from an accredited law school.
  • 5-7 years of experience as a practicing M&A attorney, preferably with both private practice and in-house experience in multiple jurisdictions.
  • Member of the New Jersey State Bar or eligible for the NJ in-house counsel license.

  • Experience with Microsoft Office, particularly Excel and PowerPoint.
  • Strong analytical, problem-solving, and interpersonal skills.
  • Ability to work effectively in a fast-paced, highly professional environment.
