**About the Role**:
PVLabs is seeking a new member of the team to manage the unique relationship between Bids & Proposals and Contract Management for our expanding footprint in the airborne intelligence, surveillance and reconnaissance (ISR) market and our expanding product line of gyro-stabilized optical systems. The Global Contracts, Bids & Proposals Manager is a dynamic, strategic role within PVLabs and is responsible for developing, building and implementing best practices and common-sense approaches to how PVLabs manages the entire value-chain of Sales Opportunity Management and Capture Management and specifically the downstream accountabilities and priorities aligned to Bids & Proposals and ultimately Contract Management.

This is a unique role that, normally, may be functionally distinct in larger organizations, but with PVLabs and our current growth trajectory, the responsibilities are to be combined into a single function.

**About the Responsibilities**:
Obviously, some typical Contracts and Bids & Proposals fundamentals will anchor the roles responsibilities, including:

- Responsible for RFP review and risk assessment, proposal preparation, contract negotiation, contract administration, and customer contact activities for assigned contracts/programs.
- Serves as the primary communication conduit between PVLabs and our respective customers.
- Provides proper contract acquisition and fulfillment in accordance with company policies, legal requirements, and customer specifications.
- Analyzes material estimates, equipment services, production costs, performance requirements, and delivery schedules to ensure accuracy and completeness.
- Prepares bids and proposals.

What were seeking is an objective thinker who can oversee the entire contract lifecycle for a company. Responsibilities include negotiation, implementation and administration of contracts. With accuracy as the primary benchmark, a contract manager ensures that the contracts are drawn and executed in compliance with PVLabs' policies and regulations. Besides curating and executing the contracts, the contract managers role entails managing the enforcement of the contract by ensuring that all parties involved adhere to the terms stipulated in the contract.

**Other Specific Responsibilities**:

- Draft and negotiate Subcontracts, Letter of Subcontracts, Teaming Agreements, Master Service Agreements, Software License Agreements, Insurance Agreements, Intellectual Property Agreements, Non-Disclosure Agreements and other legal matters.
- Identify contractual risk and provide recommended strategies to minimize or manage those risk, and its associated impact to all stages of the contracting lifecycle.
- Draft, review, and interpret contracts (including Statements of Work, specifications, terms & conditions, price, schedule, delivery schedule, etc.) and advise on contractual rights, obligations and risk.
- Manage other ongoing contract and subcontract management task, as required (e.g. Drafting and reviewing contractual correspondence, preparing for and attending contract review meetings.
- Plan and lead, as appropriate, the conduct of commercial negotiations, at both pre and post tender stages, working as part of a multi-disciplined team.
- Provide contract management to support customer product delivery and associated contractual changes minimizing short
- and long-term business risks.
- Work with Supply Chain and Operations, identifying key dependencies to ensure subcontractors/suppliers flow downs are in line with product delivery.
- Propose major milestones, such as preliminary and critical reviews and other schedule goals, and initiate corrective action measures when necessary.
- Contribute as necessary to the continuous development and improvement of PVLabs standard contracts processes.
- Provide support and guidance to other members of the commercial team to assist in their development and understanding of commercial and contractual risk.

**Desired Skills and Competencies**:

- A detailed knowledge of MOD Commercial Policies within Canada, the UK and APAC jurisdictions, FMS (Foreign Military Sales and DCS (Direct Commercial Sales)
- Good knowledge of defense related contracts, preferably in both the UK and overseas and how it relates to Canadian export controls.
- Demonstrable experience in reviewing and negotiating contract terms and conditions within a commercial environment.
- Experience of customer contracts management and recognition of commercial risk.
- High attention to detail and negotiation skills are indispensable qualities that are vital to the contracts and bids & proposals manager role.
- Experience of drafting, vetting, and negotiating contracts and other required documentation.
