Duration: 6 months (plus extension option)

Location: Downtown Toronto (Hybrid)

Our client is seeking an experienced and detail-oriented IT Contracts Manager to develop and implement a structured and efficient process for managing IT contracts. This position will be responsible for creating the framework and processes to review, negotiate, and govern contracts with IT vendors, including consulting firms, hardware/software vendors, and software licenses. The ideal candidate will have a strong understanding of IT contracts, legal compliance, risk management, and the ability to work collaboratively with internal teams such as IT, legal, and finance.

This role will be pivotal in building a robust contract management practice from the ground up, ensuring that contracts are well-structured, compliant, and aligned with organizational goals, while mitigating risks.

Your New Role:

You will act as the key contact and subject-matter expert for all contract-related and tender activities. This includes assisting with negotiating contract terms, conditions, modifications, incentives, and remedies, while working with key stakeholders to ensure that their requirements are met and that the vendor is reaching its objectives. Additionally, this position manages the contract execution process, resolving problems, mitigating delays, assisting with audits, mediating disputes, and escalating issues.

Key Responsibilities:

Contract Management Framework Development:

- Develop and implement standardized processes and workflows for reviewing, managing, and governing IT contracts.

- Create and maintain contract templates, guidelines, and best practices for different vendor categories, including consulting firms, software licenses, and hardware suppliers.

- Define clear roles and responsibilities within the contract lifecycle and ensure alignment with internal teams (Legal, IT, Finance).

Contract Lifecycle Management (CLM)

- Establish clear stages for the contract lifecycle (drafting, negotiation, execution, renewal, etc.).

- Implement tracking mechanisms to monitor key milestones, such as renewal dates, deliverables, and payment schedules.

- Introduce or optimize contract management tools/software to automate and streamline the process.

Contract Review and Approval

- Lead the review and approval process for IT contracts, ensuring legal, financial, and operational compliance.

- Collaborate with legal and finance teams to ensure contracts are in line with company policies and regulatory requirements.

- Identify and mitigate risks within contracts, including clauses related to service level agreements (SLAs), intellectual property, data security, and liability.

Risk and Issue Management

- Create and implement processes for identifying, assessing, and mitigating risks related to IT contracts.

- Develop issue resolution procedures for addressing contract disputes, non-compliance, or underperformance.

- Define clear escalation paths for unresolved contract-related issues.

Contract Renewals, Amendments, and Termination

- Establish procedures for timely contract renewals, renegotiations, and amendments, ensuring terms remain aligned with evolving business needs.

- Develop processes for the proper termination of contracts, mitigating risks and ensuring adherence to termination clauses.

Qualifications

- Bachelor’s degree in Business Administration, Law, Information Technology, or a related field. A law degree (JD) or certifications in contract management (e.g., NCMA or IACCM) is a plus.

- 7+ years of experience in contract management in IT.

- Proven experience in drafting, reviewing, and negotiating IT contracts (consulting, software, hardware, etc.).

- Experience developing and implementing contract management frameworks and processes from the ground up is highly preferred.

- Strong understanding of IT contracts, including software licensing, consulting agreements, and hardware procurement.

- Exceptional analytical and problem-solving skills, with the ability to identify risks and propose solutions.

- Knowledge of relevant legal and regulatory compliance standards (e.g., data privacy laws, intellectual property laws).

- Excellent communication and collaboration skills to work cross-functionally with internal stakeholders (Legal, IT, Finance).

- Detail-oriented with strong organizational skills and the ability to manage multiple projects simultaneously.
