Role Summary:

In this new position as Board Support Officer, you will provide secretariat services to the Foundation Board, Board committees and Executive team. The incumbent will be responsible for ensuring that all entities comply with all corporate regulatory requirements and will manage and coordinate corporate filings and assist with other filings and legal matters.

The Board Support Officer has the following responsibilities:


Governance:

  • Provide executive administrative support to the Foundation Board and multiple Board committees by maintaining regular liaison with committee chairs and conveners, coordinating activities, and supporting the flow of information.
  • Undertake secretariat support services by coordinating the preparation, collation, distribution and record keeping of Board and committee meeting agendas, documents, minutes and communiques, ensuring they are timely and accurate.
  • Maintain governance policies, minute books and other corporate records including board and officer registers and transparency documents.
  • Maintain regular and open channels of communication with the CEO and executive team to contribute to efficient and effective flow of information between the Board, committees and executive.
  • Engage and strengthen relationships with key internal and external stakeholders to facilitate Board activities and outcomes.
  • Coordinate in-person Board meetings, expense report and invoice processing.
  • Maintain corporate records with Corporations Canada and coordinate filings and notices required under corporate law with each provincial/territorial agent for service with respect to their jurisdiction’s business registry.
  • Assist with the preparation of the Investment Fund Managers’ reports, meeting materials, filings and Conflicts of Interest Policy Manuals for the Independent Review Committee (IRC), arrange for payments to the IRC members and prepare reports for the Audit Committee’s oversight of the IRC.
  • Undertake secretariat support services by scheduling all Executive Management Meetings and coordinating the collation, distribution and record keeping of the meeting agendas, documents and minutes.


Regulatory Filings:

  • Assist with annual update of prospectus, prospectus-related board resolutions and agreements with security/plan holders.
  • Coordinate and file required continuous disclosure documents (e.g. prospectus, annual and semi-annual financial statements and Management Reports of Fund Performance) on SEDAR.


Legal Matters:

  • Support the development and ongoing maintenance of template forms and agreements.
  • Assist in monitoring changes to the Canada Business Corporations Act and the Canada Not-for-profit Corporations Act relevant to the organization.


Key Competencies:

  • Using discretion and good judgement to deal with complex and sensitive issues, applying a high level of attention to detail and liaising effectively with the CEO, Board, Foundation staff and executive team.
  • Delivering a range of project, administrative and secretariat outcomes, with multiple stakeholders from across the organization.
  • Balancing a broad range of competing demands using good judgement and prioritization skills to manage your time and escalate issues as necessary.


What You Bring:

  • A passion for the mission and purpose of CST.
  • Self-starter with a preference for start-up organizations
  • 2+ years of experience with corporate governance regulations.
  • 2+ years of experience working with directors and providing assistance to a corporate Board.
  • Strong organizational and administrative skills.
  • Proficiency with Microsoft Office Suite and Board portal software.
  • Ability to work independently and as part of a team and take direction.
  • Post-Secondary Education in Business or related field an asset
  • Excellent verbal and written communication skills with exceptional attention to detail.
  • Must be comfortable in a fast-paced environment, where change is constant, and the waters are sometimes uncharted, or programs and procedures are being newly developed.
  • Impeccable integrity, ability to maintain confidentiality and strong work ethic.
