We are seeking a Legal Counsel to cover an 18-month Maternity Leave in our Ottawa, Ontario office. This position could be extended or made permanent.

Key Responsibilities

  • Negotiate and draft commercial agreements, including master software and services agreements, partnership and vendor agreements, NDAs, and terms of use.
  • Review and assist with responding to requests for proposal (RFP).
  • Provide support to management and other departmental groups in developing legal strategies and solutions.
  • Help identify legal and other risks regarding company initiatives.
  • Research and advise on areas of law, including intellectual property, labour and employment, compliance, and corporate governance.
  • Assist with other legal department/company projects as needed.

Requirements

  • Good standing with the Law Society of Ontario.
  • At least 3-5 years' experience drafting and negotiating transactional documents in the software industry.
  • Ability to work with internal stakeholders at all levels to achieve a common goal.
  • Experience working in an in-house environment, preferably in the software industry.
  • Efficient, effective, well-organized, and able to prioritize and manage multiple projects.
