We're seeking an experienced Law Clerk to join our Corporate M&A team in Waterloo for an 18-month contract. As a key team member, you'll collaborate with lawyers on corporate M&A and tax matters, including mergers, acquisitions, and reorganizations.
Responsibilities:- Document Preparation
- Create high-quality legal documents, such as corporate resolutions, notices, agreements, and other transaction-related materials.
- Draft basic share provisions and documents for corporate reorganizations, financings, and share or asset purchase transactions.
- Develop documents for incorporations, amalgamations, amendments, rollovers, redemptions, annual proceedings, dividends, continuances, dissolutions, revivals, extra-provincial registrations, licenses, limited partnerships, and business names.
- Review and Maintenance
- Analyze and prepare corporate minute book reviews and reports.
- Conduct thorough corporate searches and analyze filings.
- Maintain accurate records, securities ledgers, and registers, including uploading executed documents to virtual minute books.
- Liaison and Communication
- Collaborate closely with solicitors, clients, students, and public officials to receive and implement instructions.
- Build strong relationships with clients, lawyers, and team members through effective communication and mentorship.
- Work cooperatively with support staff and supervise assistants.
- Additional Tasks
- Prioritize and complete other essential maintenance tasks and filings.
To succeed in this role, you'll need:
- At least 4 years of experience as a Law Clerk/Paralegal in Corporate M&A within a law firm environment.
- A completed Law Clerk Certificate or Diploma or equivalent qualification.
- Strong understanding of current legal terminology and knowledge of federal and provincial corporate statutes and procedures.
- Excellent organizational and time management skills.
- Superb communication and interpersonal skills for effective client, lawyer, and team interactions.
- Proven ability to handle multiple priorities and demands in a fast-paced environment.
- Solid computer skills, including proficiency in Microsoft Office, Excel, Word, EnAct/Alf, and Aderant.
- Able to work independently, take initiative, and follow instructions with minimal supervision.
- Able to thrive in a collaborative team environment.
