Responsibilities:
  • Document Preparation
    • Create high-quality legal documents, such as corporate resolutions, notices, agreements, and other transaction-related materials.
    • Draft basic share provisions and documents for corporate reorganizations, financings, and share or asset purchase transactions.
    • Develop documents for incorporations, amalgamations, amendments, rollovers, redemptions, annual proceedings, dividends, continuances, dissolutions, revivals, extra-provincial registrations, licenses, limited partnerships, and business names.
  • Review and Maintenance
    • Analyze and prepare corporate minute book reviews and reports.
    • Conduct thorough corporate searches and analyze filings.
    • Maintain accurate records, securities ledgers, and registers, including uploading executed documents to virtual minute books.
  • Liaison and Communication
    • Collaborate closely with solicitors, clients, students, and public officials to receive and implement instructions.
    • Build strong relationships with clients, lawyers, and team members through effective communication and mentorship.
    • Work cooperatively with support staff and supervise assistants.
  • Additional Tasks
    • Prioritize and complete other essential maintenance tasks and filings.

To succeed in this role, you'll need:

  • At least 4 years of experience as a Law Clerk/Paralegal in Corporate M&A within a law firm environment.
  • A completed Law Clerk Certificate or Diploma or equivalent qualification.
  • Strong understanding of current legal terminology and knowledge of federal and provincial corporate statutes and procedures.
  • Excellent organizational and time management skills.
  • Superb communication and interpersonal skills for effective client, lawyer, and team interactions.
  • Proven ability to handle multiple priorities and demands in a fast-paced environment.
  • Solid computer skills, including proficiency in Microsoft Office, Excel, Word, EnAct/Alf, and Aderant.
  • Able to work independently, take initiative, and follow instructions with minimal supervision.
  • Able to thrive in a collaborative team environment.
