Job Title: Legal Counsel, Commercial Law

Top Aces is a leading global provider of aerospace and defence training services, with a strong presence in Canada, Germany, and the USA. We are seeking a highly skilled Legal Counsel to join our Dorval office and contribute to our company's continued growth and success.

About the Role

We are looking for a talented and experienced Legal Counsel to provide general corporate in-house legal advice and services. The successful candidate will have a strong background in commercial law, contract negotiation and drafting, and will be able to work closely with our business partners to deliver high-quality results.

Key Responsibilities
  • Provide general corporate in-house legal advice and services
  • Negotiate and draft a variety of commercial agreements, including NDAs, LOIs, Terms Sheets, Supply Agreements, Service Agreements, Teaming Agreements, Leases, etc.
  • Prepare negotiation guidelines and ready-to-use standard contracts
  • Provide legal support to other business partners, such as finance, supply team, business development, and HR team
  • Support the VP Legal Affairs, General Counsel, and Chief Compliance Officer in the context of acquisitions, financing, corporate reorganizations, and implementation of policies and processes
  • Support the VP Legal Affairs, General Counsel, and Chief Compliance Officer in her role as Chief Compliance Officer, including compliance with the Quebec French Charter and Quebec Privacy legislation (bill 25)
Requirements
  • Bachelor of Laws (LLB). Common Law degree a strong asset.
  • 7 years of experience as in-house corporate counsel in a big company having international operations.
  • Strong in commercial law, contract negotiation and drafting.
  • Experience in government contracting a strong asset.
  • Excellent writing skills in English; Knowledge of other foreign languages would be an asset (German).
  • Proactive, creative, and quick learner.
  • Excellent working knowledge of MS Office (Word, PowerPoint, SharePoint, and Teams).
