Job Summary

Top Aces, a leading global provider of aerospace and defence training services, is seeking a highly skilled Legal Counsel to join its Dorval office. As a key member of the company's legal team, you will play a critical role in shaping the company's legal strategy and providing expert advice on commercial agreements, contracts, and regulatory matters.

Key Responsibilities
  • Provide general corporate in-house legal advice and services to support the company's business operations.
  • Negotiate and draft commercial agreements, including NDAs, LOIs, Terms Sheets, Supply Agreements, Service Agreements, Teaming Agreements, Leases, and other contracts.
  • Develop and maintain a library of ready-to-use standard contracts and negotiation guidelines.
  • Collaborate with cross-functional teams, including finance, supply, business development, and HR, to provide legal support and guidance.
  • Support the VP Legal Affairs, General Counsel, and Chief Compliance Officer in acquisitions, financing, corporate reorganizations, and policy implementation.
  • Assist with compliance matters, including Quebec French Charter and Quebec Privacy legislation (bill 25).
Requirements
  • Bachelor of Laws (LLB) degree, with a strong background in common law.
  • At least 7 years of experience as in-house corporate counsel in a large company with international operations.
  • Strong expertise in commercial law, contract negotiation, and drafting.
  • Experience in government contracting is a significant asset.
  • Excellent written and verbal communication skills in English, with knowledge of other foreign languages (German) being an asset.
  • Proactive, creative, and quick learner with excellent working knowledge of MS Office (Word, PowerPoint, SharePoint, and Teams).
