Job Summary

Top Aces is seeking a highly skilled Legal Counsel to join its Dorval office. The ideal candidate will be a solutions-oriented individual with excellent business acumen, who thrives in a fast-paced team environment and is comfortable working with complex businesses in Canada, USA, and Germany.

Key Responsibilities
  • Provide general corporate in-house legal advice and services
  • Negotiate and draft various commercial agreements, including NDAs, LOIs, Terms Sheets, Supply Agreements, Service Agreements, Teaming Agreements, Leases, etc.
  • Support the Business Development Team in responding to RFPs
  • Prepare negotiation guidelines and ready-to-use standard contracts
  • Provide legal support to other business partners, such as finance, supply team, business development, and HR team
  • Liaise with external lawyers in foreign countries
  • Support the VP Legal Affairs, General Counsel, and Chief Compliance Officer in acquisitions, financing, corporate reorganizations, and policy implementation
  • Support the VP Legal Affairs, General Counsel, and Chief Compliance Officer in their role as Chief Compliance Officer, including compliance with the Quebec French Charter and Quebec Privacy legislation (Bill 25)
  • Organize and maintain electronic documentation and records
Requirements
  • Bachelor of Laws (LLB) degree
  • 7 years of experience as in-house corporate counsel in a big company with international operations
  • Strong commercial law, contract negotiation, and drafting skills
  • Experience in government contracting is a strong asset
  • Able to work under pressure and meet tight deadlines
  • Excellent problem-solving, business acumen, analytical, and organizational skills
  • Self-driven and resourceful
  • Excellent interpersonal and communication skills
  • Excellent writing skills in English; knowledge of other foreign languages is an asset (German)
  • Proactive, creative, and quick learner
  • Excellent working knowledge of MS Office (Word, PowerPoint, SharePoint, and Teams)
