Job Title: Legal Counsel

Top Aces is a leading aerospace and defense company that provides advanced training services to allied forces worldwide. We are seeking a highly skilled Legal Counsel to join our team in Dorval, Quebec.

About the Role

The ideal candidate will be a solutions-oriented individual with excellent business acumen, who enjoys working in a fast-paced team environment. As a Legal Counsel, you will contribute to the company's legal strategy, work with various stakeholders, and grow as a key internal business partner.

Key Responsibilities
  • Provide general corporate in-house legal advice and services.
  • Negotiate and draft commercial agreements, including NDAs, LOIs, Terms Sheets, Supply Agreements, Service Agreements, Teaming Agreements, Leases, etc.
  • Support the Business Development Team in responding to RFPs.
  • Prepare negotiation guidelines and ready-to-use standard contracts.
  • Provide legal support to other business partners, such as finance, supply team, business development, and HR team.
  • Liaise with external lawyers in foreign countries.
  • Support the VP Legal Affairs, General Counsel, and Chief Compliance Officer in acquisitions, financing, corporate reorganizations, and policy implementation.
  • Support the VP Legal Affairs, General Counsel, and Chief Compliance Officer in her role as Chief Compliance Officer, including compliance with Quebec French Charter and Quebec Privacy legislation.
  • Organize and maintain electronic documentation and records.
Requirements
  • Bachelor of Laws (LLB) or Common Law degree.
  • 7 years of experience as in-house corporate counsel in a big company with international operations.
  • Strong commercial law, contract negotiation, and drafting skills.
  • Experience in government contracting is an asset.
  • Able to work under pressure and meet tight deadlines.
  • Excellent problem-solving, business acumen, analytical, and organizational skills.
  • Self-driven and resourceful.
  • Excellent interpersonal and communication skills.
  • Excellent writing skills in English; knowledge of other foreign languages is an asset.
  • Proactive, creative, and quick learner.
  • Excellent working knowledge of MS Office (Word, PowerPoint, SharePoint, and Teams).
