Position Overview:

The Corporate Paralegal will report directly to a Managing Lawyer and will play a crucial role in supporting the subsidiary governance team. This position involves managing routine administrative tasks related to the upkeep of subsidiary corporate records and registrations. The ideal candidate will demonstrate strong multitasking abilities, exceptional attention to detail, and outstanding organizational and communication skills. A fundamental understanding of basic corporate transactions and the capability to independently draft documentation is essential.

Key Responsibilities:

  • Oversee the maintenance of corporate records and minute books for Canadian subsidiary entities.
  • Ensure compliance with established corporate governance practices by managing the entity management database.
  • Coordinate, prepare, and submit annual returns and other filings to various regulatory bodies in accordance with provincial and state regulations.
  • Maintain the corporate structure chart, director and officer listings, and ensure they are accessible on the internal corporate website.
  • Support M&A preparedness by maintaining relevant databases and assisting in due diligence for transactions.
  • Draft written shareholder and director resolutions for standard matters.
  • Assist in the preparation of subsidiary board meetings as necessary.
  • Contribute to corporate restructuring, incorporations, and dissolutions of companies as required.
  • Collaborate with team members to enhance corporate knowledge and identify opportunities for process improvements.
  • Provide additional administrative assistance to the Subsidiary Governance team, including invoicing, expense submissions, and departmental budgeting.

Candidate Profile:

  • Legally entitled to work in Canada.
  • A minimum of 5 years of experience as a corporate paralegal within a law firm or in-house legal department.
  • A Bachelor's degree or a certificate in paralegal studies from an accredited institution is preferred.
  • Proficient in Microsoft Office and Visio.
  • CORES III accreditation is an asset.

Preferred Qualifications:

  • Experience with Computershare's Global Entity Management System (GEMS) is advantageous.
