About the Role

We are seeking a highly skilled Paralegal to join our Corporate Law team in Calgary. As a key member of our team, you will be responsible for assisting lawyers with routine corporate matters, including incorporations, amendments, and related corporate maintenance tasks.

Key Responsibilities
  • Document Preparation
    • Prepare and review corporate documents, including articles of incorporation, bylaws, and resolutions.
    • Draft and revise documents related to corporate changes, such as director and officer appointments, shareholder transfers, and dividend distributions.
  • Corporate Record Management
    • Obtain and maintain corporate records, including certificates of good standing, society transition packages, and Nuans reports.
    • Review and update corporate records, securities ledgers, and registers.
  • Extra-Provincial Registrations
    • Prepare and update information for extra-provincial registrations of corporations, business names, and partnerships in all provinces and territories across Canada.
    • Upload executed documents to virtual minute books.
  • Liaising and Communication
    • Respond to general corporate inquiries and provide information contained in electronic minute books.
Requirements
  • Completion of a Paralegal Certificate or Diploma or equivalent.
  • A minimum of 2-5 years of relevant experience as a Paralegal within a law firm environment.
  • Strong organizational and time management skills.
  • Professional communication skills with clients, lawyers, and team members.
  • Excellent multi-tasking abilities.
  • Proven ability to manage a large workload volume, competing priorities, and demands.
  • Sound ability to adhere to strict deadlines.
  • Strong computer skills, including Microsoft Office, Excel, Word, EnAct/Alf, and Aderant.
  • Ability to work independently, take initiative, and follow instructions.
  • Ability to work well within a team environment.
