Job Summary

Dentons is seeking a highly skilled and experienced Corporate Services Manager to lead our Calgary and Edmonton offices. As a key member of our team, you will be responsible for overseeing the daily operations and workflow of our corporate paralegal teams, ensuring exceptional client experience, and managing direct interactions with clients, lawyers, agents, government offices, and support vendors.

Key Responsibilities

  • Supervise the daily operations of work-flow, including work distribution, delegation, prioritization, and resource planning, and quality control measures of the work product.
  • Direct interface and interaction with clients, lawyers, agents, government offices, and support vendors.
  • Assist with identifying the needs for technical training, skill enhancement, and mentoring of paraprofessional team members.
  • Mentorship of student lawyers.
  • Participate in recruitment and training within the Corporate Services Team.
  • Establish corporate-related precedents and protocols for the firm, in consultation with lawyers, and in alignment with applicable legislation.
  • Work with national teams to implement procedure and technology change effectively within the team, and communicate two-way feedback to ensure the best possible functionality and adoption of changes.
  • Coordinate vacation schedules, leave requests, and onsite/offsite office attendance.
  • Monitor and provide feedback on paraprofessional performance evaluations.
  • Create enrichment programs, coaching, and developing others, including paralegals and student lawyers.
  • Develop and support a positive department image and culture.
  • Meet with the National Manager Paraprofessional Services, Corporate and Tax, and participate in meetings and support with fellow supervisors/managers.
  • Facilitate special projects in response to firm initiatives.
  • Take initiative and evaluate the efficiency of certain work processes and procedures, and make suggestions to improve quality and efficiency.
  • Oversee the entity management system, including protocols to sustain integrity in the platform.
  • Additional administrative responsibilities, including collaborating with third-party vendor accounts, interaction with the finance and accounting group, and general reconciling of client and agent-related accounts.
  • Time entry skills and guidance for the team.
  • Additional administrative responsibilities as needed.

Paralegal Duties

  • Ability to complete all levels of corporate paralegal work assignments and legal duties under the supervision of lawyers.
  • Prepare corporate documentation relating to incorporations, organizations, amendments, continuances, amalgamations, extra-provincial registrations, dissolutions, and other reorganizations, including tax reorganizations, share, and asset purchases.
  • Manage and maintain updated corporate database and corporate records.
  • Work with lawyers in all Dentons Canada offices to attend to ABCA and CBCA transactions, filing, and registration equivalents.
  • Attend to the review and analysis of corporate minute book records and recommend the appropriate course of action to update records and rectify deficiencies, including drafting the required documentation.
  • Use relevant information and individual judgment to determine whether events or processes comply with laws, regulations, or standards.
  • Attend to general corporate work, including government filings, enquiries from within and outside of the firm.

Requirements

  • CORES Level 3.
  • 10+ years of experience as a corporate paralegal with progressive responsibilities.
  • Experience in leading a paraprofessional team.
  • Ability to build a positive team environment and collaborative culture.
  • Expertise and ability to handle all levels of corporate paralegal assignments.
  • Experience using law firm data management and billing software, including entity management software.
  • Experience with working in a multiple-office setting would be an asset.
  • In-depth knowledge of legal procedures, statutes, and regulations applicable to commercial and corporate law.
  • Strong interpersonal skills with the ability to deal with all stakeholders in a professional manner.
  • Ability to multi-task and meet multiple deadlines under pressure.
  • Excellent organizational skills, accuracy, and attention to detail.
