Job Summary

The Corporate Law Clerk will be an integral part of the Corporate legal team at Navacord, supporting the management of the enterprise's Corporate function and assisting broker partners with licensing activities and other strategic initiatives.

Key Responsibilities
  • Assist senior law clerks in managing and providing comprehensive corporate support to Navacord subsidiaries, including liaison with non-legal resources and internal functional groups.
  • Maintain corporate records of Navacord's subsidiaries, including minute books and the corporate entity database.
  • Ensure Navacord's subsidiaries are registered to do business and in good standing in all jurisdictions.
  • Provide support on internal legal entity reorganizations, drafting and obtaining signatures on corporate resolutions/approvals, and drafting corporate documentation.
  • Prepare and circulate Board of Directors' consent resolutions and draft proposed resolutions for Board meetings.
  • Assist with the management of the legal aspects of grants of stock options, grants of share subscription rights, and the issuance of shares.
  • Maintain up-to-date legal entity lists and organization structure charts.
  • Respond to general inquiries from the business and provide corporate information.
  • Support audits by providing corporate information and oversee external legal resources.
  • Draft and/or review legal documents and resolutions, and assist with diligence to support financings and corporate matters.
  • Implement and maintain corporate entity management databases.
Regulatory Interface
  • Interface with resources within subsidiaries on internal legal entity reorganizations and licensing activities.
  • Develop and maintain a regulatory portal/database and associated materials.
  • Perform regulatory searches and respond to inquiries from the business.
Mergers and Acquisitions
  • Support transaction-related corporate secretarial work.
  • Review proposed officers for impacts on regulatory licenses.
  • Support the obtaining of required internal approvals.
  • Support integration of acquired companies into the corporate secretariat model.
Corporate Finance
  • Support corporate finance initiative due diligence and other related matters.
  • Review exhibits and officer certificates.
  • Support external counsel on the joinder of acquired companies to secured debt facilities/bonds.
  • Assist treasury teams with bank account opening and KYC requests.
Qualifications
  • Law clerk designation from a recognized institute.
  • At least 5 years of related work experience.
  • Strong interpersonal, verbal, and written communication skills.
  • Professionalism, ability to work independently, and take accountability for providing timely and accurate responses.
  • Ability to work within tight deadlines and interface effectively with internal and external stakeholders.
  • Strong organizational and drafting skills, including a rapid problem-solving mindset.
