About the Firm

Our client, a distinguished professional services firm with a strong international presence, is seeking a seasoned Senior Corporate Law Clerk to join their growing Corporate Services Group in their downtown Toronto office.

About the Role

The Senior Corporate Law Clerk will play a vital role in supporting the Paraprofessionals and Professionals in the Corporate Services Group in Toronto. Key responsibilities include:

  • Performing a variety of complex and routine legal duties under the supervision of lawyers;
  • Preparing corporate documentation relating to incorporations, organizations, amendments, continuances, amalgamations, extra-provincial registrations, dissolutions, and other reorganizations, including tax reorganizations, share and asset purchases, etc.
  • Managing and maintaining updated corporate database and corporate records;
  • Attending to the review and analysis of corporate minute book records and recommending the appropriate course of action to update records and rectify deficiencies, including drafting all required documentations;
  • Working with the firm's lawyers to attend to OBCA and CBCA transactions, filing and registration equivalents;
  • Attending to general corporate work, including government filings, enquiries from within and outside of the firm;
  • Providing mentorship to more junior team members;
  • Other duties as assigned.

The Ideal Candidate

We are seeking a highly skilled and experienced Senior Corporate Law Clerk who possesses:

  • A minimum of 6 years' experience working as a law clerk in a corporate services department of a law firm;
  • Thorough knowledge of legal procedures, statutes, and regulations applicable to commercial and corporate law;
  • Ability to manage corporate files from start to finish;
  • Excellent interpersonal and organizational skills;
  • A Law Clerk Certification through ILCO;
  • Technical proficiency in the entire MS Office Suite and various corporate legal software.
