Our client, a multi-service law firm in downtown Toronto, is seeking a Corporate Law Clerk to join their team.

About the Job

  • Perform corporate searches and analyze/summarize the results.
  • Handle registrations, discharges, and amendments related to security interests under relevant PPSA legislation.
  • Prepare documentation for annual resolutions, incorporations, amalgamations, financings, and dissolutions.
  • Review minute books and manage corporate records/registers.
  • Support corporate reorganizations and share/asset purchase transactions, including preparing and maintaining closing checklists, drafting/reviewing closing documents, preparing closing books, and drafting reporting letters.

Key Responsibilities

  • Corporate Governance: Ensure compliance with corporate statutes and regulations, including the CBCA, OBCA, and PPSA.
  • Corporate Records Management: Maintain accurate and up-to-date corporate records, including minute books and registers.
  • Corporate Transactions: Assist with the preparation and execution of corporate transactions, including incorporations, amalgamations, and dissolutions.
  • Support Corporate Reorganizations: Provide support for corporate reorganizations, including share and asset purchase transactions.

Requirements

  • 5+ years of experience as a Corporate Law Clerk.
  • Knowledge of corporate statutes and regulations.
  • Familiarity with Corporate Manager.
  • Law clerk certification is a plus.
  • Graduate from a Law Clerk or Paralegal diploma.
  • Experience with Legal Kiosk or similar electronic minute book databases is advantageous.
