Position Overview:

The Law Clerk will collaborate closely with the Corporate legal team, which includes company counsel, the corporate secretary, and fellow law clerks. This role is integral to our corporate responsibilities and encompasses securities and governance matters for public entities within Brookfield's Global Manager Group. The position is situated within a vibrant, fast-paced, and evolving organization.

Key Responsibilities:

  • Manage all corporate records, ensuring the upkeep of minute books and the corporate entity database.
  • Draft documents for the establishment and dissolution of corporate entities.
  • Handle Annual Return filings in Canada and the U.S., along with drafting minutes and resolutions for ongoing corporate records maintenance.
  • Prepare organizational resolutions, bylaws, LLC operating agreements, and other foundational documents.
  • Conduct various corporate searches and manage online registrations.
  • Prepare and submit Canadian securities regulatory filings for public companies on platforms such as SEDAR, EDGAR, and TSX; assist with Insider Reporting obligations.
  • Draft and/or review legal documents and resolutions, providing support for acquisitions, dispositions, financings, and corporate and tax restructuring matters.
  • Coordinate with internal legal counsel, external counsel, and Brookfield tax teams.
  • Prepare officer certificates and notarial certificates.
  • Document financial flows, including capital contributions, dividends, returns of capital, and distributions; manage interest transfers; implement changes to director and officer slates; draft special approvals; maintain organizational charts, etc.
  • Assist in preparing materials for public/private company Board and Committee meetings, including notices, agendas, and resolutions, and distribute meeting materials/minutes.
  • Support corporate disclosure, compliance activities, and regulatory filings.
  • Assist the treasury team with bank account openings and KYC requests and requirements.
  • Draft and/or review legal documents and resolutions to support acquisitions, dispositions, financings, and development matters, as well as corporate and tax restructuring matters.
  • Facilitate compliance activities, including assisting with periodic reporting materials and filings.
  • Help implement legal policies, processes, and standards, documenting related compliance process maps.
  • Maintain entity lists and organizational structure charts, coordinating quarterly updates with various platforms and operating companies; prepare quarterly entity list submissions.
  • Manage the Diligent entities database and CSC portal.
  • Assist in the preparation of annual disclosures for public companies, including Management Information forms, Annual Reports, and Annual Information forms.
  • Conduct insider reporting and due diligence.
  • Respond to inquiries from other business units.

Qualifications:

  • Diploma from a recognized Ontario Law Clerk program certified by The Institute of Law Clerks of Ontario (or equivalent legal experience with a strong performance record).
  • Experience in a law firm or in-house legal department of a large public company is an asset.
  • Familiarity with SEDI, SEDAR, EDGAR, and TSX filings.
  • Knowledge of various Canadian and provincial corporate registry online and paper filings, as well as U.S. Secretary of State business entity searches and filings.
  • Professional demeanor with the ability to provide timely and accurate responses to inquiries from internal and external counsel and other stakeholders.
  • Ability to work effectively under pressure, manage multiple tasks, and take ownership to support the team.
  • Excellent interpersonal skills for collaboration across all levels and departments of the organization.
  • Capability to work independently with minimal supervision, as well as collaboratively with other legal and tax colleagues.
  • Strong communication (verbal and written) and organizational skills.
  • Proficiency in MS Word, Excel, PowerPoint, Visio, iManage, and corporate legal records software/database.
