Nous recherchons un(e) technicien(ne) juridique spécialisé(e) en transactionnel** **pour joindre notre équipe grandissante responsable des transactions liées aux cabinets de courtiers

**Ce que vous accomplirez chez nous**:

- Fournir un soutien juridique pour des transactions incluant des prises de participation, des fusions et acquisitions, des réorganisations et du financement;
- Effectuer des vérifications diligentes dont i) la recherche aux registres publiques comme le RDPRM, les plumitifs, le REQ, Corporations Canada, ii) la révision des livres de procès-verbaux, iii) la rédaction ou révision de résolutions de régularisation, iv) la gestion de salles virtuelles de données, v) la révision de contrats importants pour déterminer les clauses d’intérêt, v) l’analyse des résultats, et vi) la préparation de rapports de vérification;
- Révision de mémos fiscaux préparés par des fiscalistes dans le cadre de transactions, rédaction d’agendas de clôture, de documents corporatifs et parfois contractuels qui sont sous notre responsabilité et révision et correction des documents qui sont sous la responsabilité de nos vis-à-vis dans le cadre des clôtures;
- Rédaction ou révision des documents relatifs à la constitution de sociétés, incluant l’incorporation, la rédaction et/ou la modification de capital-actions élaborés, l’établissement des règlements internes, la rédaction de résolutions d’organisation et la création ou la mise à jour de livres de procès-verbaux, et lorsque nécessaire, dissolution desdites sociétés;
- Rédaction ou révision des différentes résolutions annuelles et spéciales dont pour la déclaration de dividendes et pour les rachats d’actions;
- Effectuer des inscriptions aux registres publics (REQ, Corporations Canada, RDPRM, etc.);
- Effectuer des recherches doctrinales, jurisprudentielles et législatives;
- Préparation d’organigrammes corporatifs, de tableaux de bord et mise à jour de sites de partage d’informations, ainsi que d’autres tâches administratives, occasionnellement.

**Ce que vous mettrez à profit**:

- Diplôme d’études collégiales en techniques juridiques ou toute formation jugée équivalente;
- Une expérience minimum de 5 ans à titre de technicien(ne) juridique en droit corporatif, transactionnel et/ou financement en cabinet d’avocats ou en entreprise d’envergure;
- Aptitude à bien travailler de façon autonome et en équipe multidisciplinaire dans un environnement où le volume de travail peut être élevé;
- Bonnes aptitudes rédactionnelles;
- Excellent jugement, sens des priorités et capacité de travailler sous pression;
- Bonnes aptitudes organisationnelles;
- Autonomie, initiative, rapidité d’exécution et disponibilité;
- Volonté à s’investir et relever des défis;
- Capacité à faire preuve de grande discrétion;
- Bonnes compétences en informatique, y compris MS Office (Word, Excel, PowerPoint, Adobe Acrobat);
- Excellente communication orale et écrite en français et en anglais.
- Excellentes compétences interpersonnelles et de communication (écrites et orales).
- Personne motivée qui prend des initiatives et possède d'excellentes compétences en résolution de problèmes.
- Connaissance ou un intérêt pour les transactions technologiques serait un atout
