We are currently seeking an **Assistant Corporate Secretary **to round out our Corporate Secretariat.

**Position Summary**:
**This is a temporary contract role** which reports to the Assistant General Counsel and Corporate Secretary, supporting both the board of directors and senior management. The Assistant Corporate Secretary plays a critical role in ensuring the sound governance of the corporation.

**Responsibilities**:

- Prepare meeting agendas
- Review, edit and upload all meeting materials to the board portal
- Schedule, prepare for an attend all board and committee meetings and other board events, including room set-up, logistics, refreshments and managing guest attendance
- Take concise and accurate minutes of board meetings that capture key points
- Manage all aspects of director remuneration and expense reimbursement
- Assist in coordinating the organization’s Annual General Meeting
- Confidently and professionally communicate with directors, management and external parties
- Coordinate the onboarding and offboarding of new and departing directors
- Maintain the organization’s policy register and board manual
- Assist in departmental budgeting and forecasting
- Complete annual filings and participate in audit activities and other tasks to ensure compliance with applicable corporate laws and regulatory requirements

**Job Qualifications**:

- College degree or diploma in legal studies, business or a similar field
- 3-4 years of relevant experience in a similar role
- Corporate governance educational courses or certifications an asset
- Advanced proficiency in Microsoft Word, PowerPoint, Excel and Teams
- Experience with board portals (Boardvantage preferred)
- Close attention to detail and the ability to manage multiple tasks
