Role Overview:

Our firm is currently recruiting for a Compliance and Conflicts Counsel in our General Counsel Office Department, reporting to General Counsel for a 6-month contract. The Compliance and Conflicts Counsel supports the overall management of compliance and risk matters as well as professional responsibility obligations at the firm. This role is multi-faceted and works closely with various stakeholders on issues relating to client terms of engagement, errors & omissions, conflicts of interest, and ethics and professional responsibility. This role requires strong negotiation and communication skills and involves working and supporting a cross-functional team, including the General Counsel, Assistant General Counsel, and the firm’s Audit and Risk Management Committee.


The successful candidate will be responsible for:

  • Assisting with drafting of complex engagement letters and update standard form templates to align with best practices.
  • Reviewing, tracking and negotiating client outside counsel guidelines and retainer agreements, with a view to identifying unacceptable terms that require further negotiation and facilitating lawyer access to terms governing client relationships, including advance waivers and specific consents.
  • Liaising with the Firm’s professional liability insurers to repair lawyer errors and reduce the risk of litigation against the Firm.
  • Working with the Records Management team to ensure proper information governance and record retention policies are in place.
  • Assisting lawyers in reviewing and interpreting conflicts reports and obtaining required consents.
  • Developing and delivering training to lawyers and administrative professionals on the law pertaining to ethics and professional responsibility as well as firm policies and procedures relating to risk management.
  • Negotiating and drafting agreements on behalf of the Firm in order to reduce risk and secure favourable terms.
  • Collaborating with the IT Security Team to protect the Firm from cyber threats and respond to client security audits.
  • Supporting the update, development, implementation, and communication of Firm policies and procedures.
  • Researching legal and regulatory developments and draft memoranda.


The successful candidate must have the following education, experience and/or demonstrated skills:

  • Licensed to practice law in Ontario, Alberta or British Columbia and in good standing
  • A minimum of 3-5 years of legal experience in a large law firm environment and/or in-house legal department
  • Strong client service orientation combined with the ability to manage competing interests at the same time
  • Superior legal research and writing capabilities
  • Ability to communicate effectively (both verbally and in writing) to a broad range of audiences including partners, senior management, and clients
  • Exercise discretion and independent judgement and prioritize competing demands in a deadline-intensive environment
  • Ability to balance risk management and practical business judgement
  • Excellent organizational skills and attention to detail
  • Ability to establish and build trust-based working relationships with stakeholders
  • Strong leadership, relationship, collaboration, and consultation skills
  • A strong work ethic and professional demeanor
  • Adaptability and openness to crafting creative solutions to complex problems.


Employment Type: Fixed-Term (6-Month Contract)
