Independent Board Member – Board of Directors of Boréal Ontario North Corporation

Context:

Boréal, a prefabricated home company operating in Quebec for over 13 years, has partnered with One Bowl, an Indigenous non-profit organization dedicated to developing sustainable housing in collaboration with Indigenous communities. Together, they are establishing a new manufacturing facility in Ontario to support the creation of high-quality, energy-efficient homes while fostering economic opportunity and shared growth through their complementary missions.

Position Objective:

To serve as a neutral and impartial member of the board of directors, ensuring balanced and ethical governance focused on the shared interests of Boréal and One Bowl in the context of operating the Ontario manufacturing facility. Meeting online and occasionally in person.

Schedule:

This is a casual position requiring your attendance at a minimum of four (4) board meetings per year. You will serve as a neutral voice during these meetings.

Additional meetings may be scheduled as needed, and you will be notified in advance. Please note that some weeks may not require any work. You will only be contacted when your presence is necessary.

Key Responsibilities:

  • Actively participate in board meetings (expected frequency: quarterly or as needed).
  • Serve as a neutral voice in board deliberations, especially in the event of disagreements between partners.
  • Provide an external and objective perspective on strategic, operational, and financial decisions.
  • Promote sound governance, transparency, and alignment with the organization's shared mission.
  • Contribute to discussions on market development, investment strategy, human resources, and regional partnerships.

Term of Office:

  • Initial 2-year mandate, renewable.
  • 6-month probationary period.

Independence Requirements:

  • Must not be employed by, a shareholder of, or contractually linked to Boréal or One Bowl.
  • Must have no direct or indirect conflicts of interest with either partner.
  • Must sign a declaration of interest, to be updated as needed.

Profile Sought:

  • Proven experience in corporate governance, cooperative governance, or governance of public/private organizations.
  • Ideally from the construction, wood industry, manufacturing, housing, or economic development sectors.
  • Ability to assess growth-related challenges in a neutral and strategic manner.
  • Solid understanding of joint ventures and regional development issues.
  • Excellent communication skills, strong analytical thinking, and political acumen.
  • Fluency in both French and English an asset.
  • Demonstrates a willingness to learn about and respect Indigenous cultures and practices while working collaboratively with Indigenous communities

Compensation

When working from home, you will be paid $75.00/hr when you attend the quarterly or as needed meetings. When you are required to travel, you will be paid $500.00/meeting and have travel expenses covered.
