**The Role**
We are a high growth business in need of an in-house Corporate Secretary Consultant with publicly listed company experience to ensure that our clients remain in compliance with all regulatory filings. This entails taking on all the responsibilities of a Corporate Secretary for clients but will not be named as an officer of the companies. Our Corporate Secretary Consultants act as the lead facilitators for corporate governance for their given set of clients, lead the agenda for corporate and regulatory filings, and are the first point of contact for continuous disclosure-related requests from clients’ senior management.
**What Will Your Days Look Like?**
Governance
- Providing strategic support to the Board and its Committees with respect to its structure, activities, and ultimate effectiveness. Supporting management in improving its effectiveness in supporting the Board in discharging its governance duties
- Coordinating transactions, including those related to equity financings, and regulatory compliance
- Completing incorporations, extra-provincial registrations and all other corporate filings with BC Registry and Corporations of Canada
Regulatory Compliance and Filings
- Leading continuous disclosure calendars for clients
- Drafting, reviewing, and filing continuous disclosure documents
- Distributing all disclosures, financial statements, applicable certificates, and corporate filings to Senior Management and Board of directors under applicable law
- Maintaining and leading all of the corporate registry filings for clients
- Ensuring compliance with exchange regulatory requirements for each client
Member and Board and Committee Meetings
- Serving as Corporate Secretary Consultant to the Board and Board Committees
- Providing notice of, attending, and directing arrangements for recording of minutes of meetings
- Coordinating and distributing correspondence, reports, filings and communications to the Board and members of management, as appropriate
- Has 5+ years of corporate experience, preferably at a major law firm and/or in the financial services sector
- Has completed a diploma, certificate, or degree in paralegal studies
- Demonstrates strong problem-solving skills with the ability to adapt to changing needs of the client and the Corporate Secretary Consulting team
- Is confident, reliable, and business-minded leader, with the ability to manage multiple client files and adapt to changing priorities
- Remains unflappable in the face of deadline driven work
- Has the ability to work independently, think critically and use sound judgment
- Has outstanding interpersonal, organizational and communication skills.
