Our client, a thriving corporation located in Brampton, Ontario is growing They are looking to add a Law Clerk to its team. This is a new, permanent full time position.
Reporting directly to the General Counsel your duties and responsibilities will include:
- Preparing federal and provincial incorporation documents, by-laws, organizing resolutions, extra-provincial registrations, amendments, amalgamations and dissolutions
- Conducting due diligence searches, including corporate profile reports, business name searches, and NUANS and trademark searches, and summarizing and reporting on findings
- Maintaining corporate minute books and records, including tracking, preparing and filing annual filings, annual resolutions and change notices, and updating internal corporate organizational charts
- Assisting with closings for a variety of real estate and financing (both real estate and non-real estate) transactions, including, as applicable, liaising with external counsel, preparing closing documents, tracking critical dates for closing and post-closing matters, conducting and reporting on due diligence findings, completing security registrations/filings and final reporting
- Maintaining internal file management system
- Assisting in the ongoing development and maintenance of the precedent system in respect of various legal documents
**Requirements;**
- 2-5 years of related experience in a law firm or in-house legal department.
- Completion of law clerk program recognized by the Institute of Law Clerks of Ontario (ILCO)
- A Member in good standing with the Institute of Law Clerks of Ontario
- Experience with corporate incorporations and reorganizations, extra-provincial and foreign entity (US) registrations and record keeping (including maintenance of minute books) is an asset
- Experience with commercial real estate and borrower & lender side financing (including non-real estate) transactions is an asset. This client will train in this area of law.
- Professional demeanor with the ability to interact and effectively communicate with internal and external stakeholders at all levels and across teams is a necessity
- Superior administrative, attention to detail, communication, organizational and time management skills
