**The Opportunity**:
OpenText is seeking a Board Affairs Coordinator to join our Corporate Secretarial team. In this capacity, you will play a crucial role in providing efficient and effective support to our Board. You will be to perform a variety of high-level tasks in supporting our Board, including arranging and coordinating meetings, drafting resolutions/documentation, ensuring corporate compliance, coordinating with the relevant internal/external parties to collect information for the purposes of supporting the Board’s decision-making process, and willingness to take on other tasks to assist in team projects.

**You Are Great At**:

- Provide efficient administrative support to the Board and Board Committees, ensuring smooth operation and coordination of meetings.
- Preparing and coordinating meeting materials, including drafting agendas, minutes, resolutions, and related materials. Utilize appropriate software for administration purposes.
- Assist in organizing and overseeing various aspects of the annual shareholders meeting, including logistics and preparation of necessary materials.
- Manage securities compliance and ensure maintenance of NASDAQ and TSX listings. Complete, coordinate, and maintain required securities law filings and other regulatory notices.
- Support public filings, including quarterly and annual reporting.
- Oversee the D&O Questionnaire process, including updating questionnaires and reviewing completed questionnaires for disclosure issues.
- Maintain the corporate data room and ensure proper management of corporate records.
- Handle SEDI filings, and parent and subsidiary corporate records.
- Assist with budget management.
- Assist with transfer agent and equity plan administration matters, including insider filings.
- Independently handle routine matters with proficiency.
- Collaborate with colleagues to support business objectives and uphold governance practices.
- Provide project management and general legal day-to-day support to the company as needed.

**What It Takes**:

- Minimum of 5+ years of relevant experience
- Must have prior experience in-house with a public company supporting Board functions
- Required to work in person at our office 3 days per week as well as willing to travel for Board meetings (~15% of time)
- Solid knowledge of MS Office and Diligent
- Proficiency in TSX and NASDAQ filing requirements is an asset
- Exceptional interpersonal skills are essential for effective collaboration across teams and for interacting with management and the board of directors. The ability to establish and maintain positive relationships internally and externally is important.
