We are seeking a highly skilled Governance Expert to join our team in a part-time capacity at OLHI. This is an exceptional opportunity for an experienced Corporate Secretary to utilize their expertise and support the effective functioning of our Board.

About the Role

The successful candidate will be responsible for managing all aspects of corporate governance, including meeting coordination, documentation, and liaison services. They will work closely with the Board Chair, Board members, and senior management to ensure seamless communication and coordination.

This is a part-time position (60 hours per month) that requires occasional travel within Canada (mainly downtown Toronto). The successful candidate will also be expected to work from home and have access to advanced technology and computer skills.

Key Responsibilities
  • Meeting Coordination & Logistics: Plan and manage all logistics for Board, Committee, and AGM meetings, including venue arrangements and catering.
  • Meeting Documentation & Follow-Up: Attend all Board, Committee, and AGM meetings, recording minutes, resolutions, and action items.
  • Corporate Documentation Management: Maintain key corporate documents, including the corporate Minute Book, resolutions, and other governance-related records.
  • Liaison & Communication: Serve as the primary liaison between the Board Chair, Board members, and management, ensuring seamless communication and coordination.
Requirements

To be successful in this role, you will require:

  • A minimum of 5 years of experience in a Corporate Secretary role or similar.
  • Recent and relevant experience with corporate governance matters and issues.
  • Excellent writing and verbal communication skills, with proficiency in English.
  • Strong attention to detail and high degree of accuracy.
  • High level of integrity, confidentiality, and accountability.
  • Advanced understanding of Microsoft and Google suites, case management systems, and website management support tools.
Salary and Benefits

The estimated salary for this part-time position is $75,000 per year, based on 60 hours of work per month. This includes benefits such as work-from-home flexibility, occasional travel, and overtime as required.
