Administrative Manager for Corporate Governance

A renowned corporate services company in Downtown Toronto is seeking an experienced Corporate Secretary to join their dynamic team. If you have a proven track record of more than 5 years in an in-house legal setting, we encourage you to apply.
About the RoleThis exciting opportunity offers a chance to work with a talented team and progress your career further. As our ideal candidate, you will be responsible for:
- Serving as a key liaison between internal and external Board members, arranging quarterly meetings, annual general meetings, and other critical events
- Preparing agendas, supporting documentation, and sending them to Board members in advance
- Drafting Board resolutions as needed and ensuring timely completion
- Attending Board and Committee meetings, recording minutes, and reporting on outstanding agenda items
- Advising directors and senior officers on insider reporting requirements
- Maintaining the company's corporate governance materials, including articles, by-laws, minute books, mandates, charters, policies, and associated approval processes
You will also be responsible for:
- Reviewing and preparing service level agreements
- Providing guidance on good corporate governance practices
- Assisting in defining and maintaining the respective functions and Committees of the Board
To succeed in this role, you should have:
- At least 5 years of relevant experience as a corporate secretary or paralegal within an in-house legal team
- Excellent oral and written communication skills to effectively communicate across all levels
- Strong organizational skills, attention to detail, and time management skills to prioritize tasks and meet deadlines
- Aptitude with Microsoft Office products, specifically Word, Excel, Acrobat, and other meeting software
