Job Title: Corporate Governance Assistant

Job Summary:

We are seeking a highly organized and detail-oriented Corporate Governance Assistant to join our team at Brookfield Asset Management. The successful candidate will be responsible for providing administrative support to the Corporate Secretary and the legal team, ensuring the timely and accurate completion of corporate records management and securities compliance tasks.

Key Responsibilities:

  • Corporate Records Management: Maintain accurate and up-to-date corporate records, including minute books and entity databases.
  • Securities Compliance: Prepare and file Canadian securities regulatory filings for public companies on SEDAR, EDGAR, and TSX, as well as assist with insider reporting obligations.
  • Document Preparation: Prepare documents for formation and dissolution of entities, annual return filings, and drafting minutes/resolutions for ongoing corporate records maintenance.
  • Entity Search and Registration: Perform various corporate searches and perform various corporate online registrations.
  • Liaison with Internal and External Parties: Liaise with internal legal counsel and outside counsel, as well as Brookfield tax groups.

Requirements:

  • Education: Diploma from a recognized Ontario Law Clerk program certified with The Institute of Law Clerks of Ontario, or qualifying legal experience with an outstanding performance record.
  • Experience: Experience in a law firm or in-house legal department of a large public company is an asset.
  • Skills: Familiarity with SEDI, SEDAR, EDGAR, and TSX filings, as well as various Canadian and provincial corporate registry online and paper filings and searches, and U.S. Secretary of State business entity searches and filings.
