We are seeking a highly skilled Corporate Secretary to join our team at CB Canada. As a key liaison with internal and external Board members, you will be responsible for arranging quarterly meetings of the Board and Committees, as well as annual general meetings of shareholders.

Key responsibilities include preparing agendas and supporting documentation, drafting Board resolutions, and attending Board and Committee meetings to record minutes and information items.

You will also be responsible for maintaining the company's corporate governance materials, including articles, by-laws, minute books, mandates, charters, and corporate policies. In addition, you will advise directors and senior officers on insider reporting requirements and review and prepare service level agreements.

To be successful in this role, you will require at least 5 years of relevant working experience as a corporate secretary or paralegal within an in-house legal team. You must have excellent oral and written communication skills, attention to detail, and time management skills.

Additionally, you will need to be able to multi-task in a fast-paced environment, have strong organizational skills, and be self-motivated. The ability to meet tight deadlines and work well under pressure is also essential.
