Job Title: Corporate Secretary

We are seeking a highly skilled Corporate Secretary to join our team at CB Canada. As a key member of our corporate services team, you will be responsible for providing administrative support to our Board of Directors and ensuring the smooth operation of our corporate governance processes.

Key Responsibilities:
  • Liaise with internal and external Board members to arrange meetings and ensure timely communication of agendas and supporting documentation.
  • Prepare and distribute meeting materials, including minutes, information items, and action items.
  • Draft Board resolutions and ensure compliance with regulatory requirements.
  • Attend Board and Committee meetings, record minutes, and provide administrative support as needed.
  • Develop and maintain corporate governance materials, including articles, by-laws, minute books, and corporate policies.
  • Advise directors and senior officers on insider reporting requirements and good corporate governance practices.
Requirements:
  • At least 5 years of experience as a corporate secretary or paralegal within an in-house legal team.
  • Excellent communication and organizational skills, with the ability to work effectively in a fast-paced environment.
  • Strong attention to detail and ability to multitask.
  • Ability to work outside regular hours on occasion and demonstrate self-motivation and initiative.
  • Aptitude with Microsoft Office products and other meeting software.
