Senior Vice President, Chief Legal Officer

Starlight Investments is looking for a seasoned Senior Vice President, Chief Legal Officer (CLO) with extensive expertise in corporate law and private equity. The ideal candidate will deliver strategic legal counsel to our leadership team, ensuring adherence to regulatory standards and managing corporate governance. This role will also encompass overseeing investment activities and necessitates a proactive stance on risk management while adeptly navigating intricate legal frameworks, thereby contributing to the company's overall success and integrity.
Key Responsibilities
Strategic Legal Counsel:- Offer expert legal advice to the CEO and executive leadership.
- Engage in corporate strategy formulation, ensuring legal aspects are incorporated into business planning and decision-making.
- Conduct comprehensive due diligence to evaluate the legal, financial, and operational status of potential acquisitions, identifying risks that could affect transactions.
- Guide, mentor, and enhance the legal team, promoting a culture of excellence and continuous improvement.
- Uphold the company's ethical standards and encourage others to follow suit.
- Efficiently manage the legal department's budget and resources.
- Assist the executive team in managing a diverse array of internal and external stakeholders, including external legal firms and consultants.
- Act as a liaison with stakeholders on legal and business issues.
- Cultivate and maintain robust relationships with external legal advisors, regulators, and industry organizations.
- Ensure all communications with external parties comply with legal standards and align with corporate policies.
- Advise on structuring transactions or purchasing entities to optimize legal, tax, and financial outcomes.
- Provide risk-adjusted legal and business advice on complex real estate transactions.
- Negotiate and draft intricate real estate agreements, joint ventures, and partnership contracts.
- Deliver legal support for mergers, acquisitions, divestitures, joint ventures, and other strategic initiatives.
- Ensure the company's operations comply with all relevant laws and regulations, including SEC regulations and stock exchange requirements.
- Develop and implement policies to mitigate legal risks and ensure compliance with legal standards.
- Monitor and manage compliance programs, conducting regular audits.
- Collaborate with the Risk & Insurance team to identify and manage legal risks associated with the company's operations and contracts.
- Provide legal support in managing claims, including assessing their validity and negotiating settlements.
- Oversee compliance with securities laws and filing obligations for the company and its investment vehicles.
- Manage corporate governance issues, including board meeting management, minutes, and corporate records.
- Advise on corporate structure, governance, and the responsibilities of directors and officers.
- Conduct thorough legal research to remain informed about international laws, treaties, and regulations.
- Draft, review, and negotiate international agreements, ensuring compliance with global legal standards.
- Perform due diligence on international transactions and partnerships, assessing potential legal risks.
- Oversee the implementation of new business structures and associated tax strategies.
- Draft shareholder agreements and review legal documents from potential investors.
- Evaluate the impact of shareholder agreements on existing contracts with external stakeholders.
- Draft and review subscription agreements outlining terms, rights, and obligations of potential investors and the company.
- Manage all litigation and disputes involving the company.
- Coordinate with external legal counsel and represent the company in legal proceedings as necessary.
- Supervise the drafting, review, and negotiation of all company contracts.
- Develop and maintain contract management systems and processes.
- Stay updated on regulatory changes affecting the real estate investment sector and communicate implications to senior management.
- Engage with regulatory bodies and industry groups as necessary.
