Job Title: Legal Counsel

Top Aces is a leading aerospace and defense company that provides advanced training services to allied forces worldwide. We are seeking a highly skilled Legal Counsel to join our team in Dorval, Quebec.

About the Role

The Legal Counsel will provide general corporate in-house legal advice and services, including negotiating and drafting commercial agreements, supporting business development, and liaising with external lawyers. The ideal candidate will have a strong background in commercial law, contract negotiation, and drafting, with experience in government contracting a strong asset.

Key Responsibilities
  • Provide general corporate in-house legal advice and services
  • Negotiate and draft commercial agreements, including NDAs, LOIs, Terms Sheets, Supply Agreements, Service Agreements, Teaming Agreements, Leases, etc.
  • Support Business Development Team in responding to RFPs
  • Prepare negotiation guidelines and ready-to-use standard contracts
  • Provide legal support to other business partners, such as finance, supply team, business development, and HR team
  • Liaise with external lawyers in foreign countries
  • Support the VP Legal Affairs, General Counsel, and Chief Compliance Officer in the context of acquisitions, financing, corporate reorganizations, and implementation of policies and processes
  • Support the VP Legal Affairs, General Counsel, and Chief Compliance Officer in her role as Chief Compliance Officer, including compliance with the Quebec French Charter and Quebec Privacy legislation (bill 25)
  • Organize and maintain electronic documentation and records
Requirements
  • Bachelor of Laws (LLB). Common Law degree a strong asset.
  • 7 years of experience as in-house corporate counsel in a big company having international operations.
  • Strong in commercial law, contract negotiation and drafting.
  • Experience in government contracting a strong asset.
  • Able to work under pressure and meet tight deadlines.
  • Excellent problem solving, business acumen, analytical and organizational skills.
  • Self-driven and resourceful.
  • Excellent interpersonal and communication skills.
  • Excellent writing skills in English; Knowledge of other foreign languages would be an asset (German).
  • Proactive, creative, and quick learner.
  • Excellent working knowledge of MS Office (Word, PowerPoint, SharePoint, and Teams).
