ROLE SUMMARY

The Corporate Legal Assistant will play a crucial role within the Corporate legal team at Navacord. As a vital member of a five-person team, you will oversee the enterprise's corporate functions and assist broker partners with licensing activities and various strategic initiatives. This role is situated within a vibrant, fast-paced, and expanding organization.

KEY RESPONSIBILITIES

Corporate Duties

  • Support the senior law clerk in delivering comprehensive corporate assistance to Navacord subsidiaries, coordinating with non-legal personnel involved in legal entity management and other internal departments. Responsibilities include: Maintaining corporate records for Navacord's subsidiaries, including minute books and the corporate entity database; Ensuring subsidiaries are registered and compliant in all operational jurisdictions; Assisting with internal legal entity reorganizations; Drafting and securing signatures on corporate resolutions and approvals for specific transactions; Preparing and distributing Board of Directors' consent resolutions as necessary.
  • Assist in managing the legal aspects of stock option grants under the Navacord MIP, share subscription rights under the ESPP, and the issuance of shares related to vested options/subscription rights, including preparing necessary documentation.
  • Help manage the legal considerations of share buy-backs and transfers.
  • Maintain an updated list of legal entities and organizational structure charts.
  • Respond to general inquiries from the business regarding legal entities and provide required information.
  • Support audits (financial, tax, etc.) by supplying corporate information needed for audit-related activities.
  • Oversee external legal resources as necessary.
  • Draft and review legal documents and resolutions, assisting with due diligence for financing, corporate, and restructuring matters.
  • Implement and maintain the corporate entity management database.

Regulatory Responsibilities

  • Collaborate with subsidiary resources on internal legal entity reorganizations with regulatory implications and licensing activities.
  • Assist in developing and maintaining a regulatory portal/database for subsidiary use on regulatory matters.
  • Conduct regulatory searches and respond to inquiries regarding license statuses.
  • Oversee external legal resources as needed.

M&A Responsibilities

  • In addition to corporate secretarial tasks related to transactions: Review proposed officers for regulatory license impacts; Support the acquisition of necessary internal approvals; Facilitate the integration of acquired companies into the corporate secretariat model.

Corporate Finance Duties

  • Assist with corporate finance initiatives, due diligence, and related matters, focusing on corporate entity aspects.
  • Support external counsel in integrating acquired companies into secured debt facilities.
  • Assist treasury teams with bank account openings and KYC requirements.

QUALIFICATIONS

  • Law clerk designation from a recognized institution;
  • Over 5 years of relevant experience;
  • Strong interpersonal, verbal, and written communication skills;
  • Professionalism with the ability to work independently and take accountability for timely and accurate responses;
  • Ability to meet tight deadlines and effectively interface with a diverse range of internal client groups, external counsel, regulators, and suppliers;
  • Strong organizational and drafting skills, with a proactive problem-solving approach.
