Position Overview – Corporate Legal Advisor

Reporting directly to the General Counsel, the selected candidate will primarily oversee M&A activities and manage various legal issues, including data privacy/security, commercial agreements, corporate governance, litigation, intellectual property, compliance, and coordination with external legal advisors. Key responsibilities encompass drafting legal documents, negotiating contracts, and providing guidance to business leaders on transactions and legal concerns.

Ideal candidates are flexible, business-minded, and capable of working autonomously. They should be proactive, collaborative, quick learners who excel in an entrepreneurial setting.

This role is ideal for individuals eager to undertake diverse responsibilities and interested in broadening their international legal expertise across various jurisdictions.

Key Responsibilities

  • Drafting, reviewing, and negotiating contracts related to M&A transactions and corporate affairs
  • Coordinating and executing M&A transactions, including post-closing integration processes
  • Managing data privacy/security, commercial agreements, corporate governance, litigation, intellectual property, compliance, and external counsel oversight
  • Supporting the General Counsel and collaborating with business leaders on legal matters

Qualifications

  • LL.B. or J.D. degree (or equivalent)
  • Active membership with a Canadian Law Society
  • 3-5 years of corporate M&A experience at a reputable law firm or corporation
  • Strong technical and drafting capabilities
  • Exceptional work ethic with the ability to work independently and collaboratively
  • High-energy self-starter with excellent interpersonal skills
  • Experience in corporate law beyond M&A is advantageous
