**Primary Objective**:
The contract manager’s role is to ensure consistent management of all contractual instruments entered into by the business division. This generally includes oversight of the contract management process, as well as adherence to specific standards for contract negotiations and document management set by the company. The contract manager’s role in the contract development process requires close collaboration with various departments, including operations, project management, technical sales management, business operations and finance.

**Position Duties and Scope**:

- The Contracts Manager is responsible for all contractual vehicles used by ALS in its day-to-day management of the business division while adhering to the division’s core values.
- The Contracts Manager reports directly to the General Counsel, Corporate Group and will be the focal point for all contract review, including but not limited to client, commercial vendor and subcontract agreements and all accompanying forms, and recommendations, representations and certifications, issuance and maintenance of certificates of insurances (COIs) and other duties as assigned for the ALS North American operations.
- The Contracts Manager will also be responsible for aiding operations and Corporate Group Legal on any disputes and legal matters not requiring outside counsel. This generally includes review and handling of subpoenas occasionally received by ALS (typically for records), declarations, etc., and providing direction to operations.
- You will ensure active management to foster a culture of “One ALS” and that all aspects of the duties assigned to contracting are performed smoothly and efficiently to enhance business and client management.

**Position Requirements/ Essential Criteria**:

- Foster and promote organizational principles of integrity and compliance.
- Serve as primary internal contact during contract negotiations. Perform and document review of new contracts for acceptability of terms, recommend changes where appropriate, and communicate key points internally.
- Engage relevant stakeholders in negotiation decisions involving legal or regulatory requirements, or disputes and litigation etc.
- Ensure that all contracts are properly executed documents, made available to appropriate personnel via company databases and securely maintained.
- Assist Group Legal to develop standards for contracts, including presentation of budget, payment terms, general language and provisions. Perform appropriate administrative and operational research to support contract development. Conduct contract strategy meetings to identify issues and client requirements, facilitate pricing discussions, and obtain senior management input on timelines and deliverables as needed.
- Draft contractual provisions based on strategy discussions, senior management input, and organizational needs and expectations.
- Assure accuracy and appropriateness of contract text and attachments.
- Interface with insurance team regarding adequacy of coverage, issuance and maintenance needs. Liaison with appropriate risk management personnel to ensure insurance compliance with the business division’s needs.
- Engage relevant stakeholders in negotiation decisions involving legal or regulatory requirements and contract standards.
- Develop and execute negotiation strategies that minimize potential losses and benefit the organization’s financial performance.
- Maintain deadlines on deliverables and communicate on an ongoing basis with business partners and internal clients about contractual issues and requirements.
- Awareness of the content and intent of all company policies and ensuring that they are implemented and followed.
- Assist division personnel to prepare proposal responses and submissions regarding contractual terms and conditions in accordance with the delegated level of authority for the position and noting any contractual negotiations or exceptions that will need to be taken.
- Recommend to senior management if contractual/business issues require additional legal resources.
- Coordinate and document all division’s subpoena responses (including maintenance of subpoena instructions at each facility), cease and desist letters, non-disclosure/non-collusion agreements, confidentiality agreements and other contractual instruments as needed.
- Assist division personnel on federal government contracting including review of FARs and DFARs for new or modified relevant requirements.
