Job Summary:
Embrace an impactful leadership opportunity within our Corporate Services team as the esteemed Corporate Secretary. As a senior figure in our organization, you'llatke the reins in guiding our team and assuming a pivotal role in our operations. Your influence will extend to empowering C1's Board of Directors in their governance obligations while fostering a harmonious synergy between management and the board. You'll also step into the role of Corporate Secretary for select C1 entities, orchestrating seamless staff management. Reporting directly to the Chief People & Corporate Services Officer, this role promises a dynamic and fulfilling journey at the forefront of corporate excellence.
What you'll be doing:
- Acting as Corporate Secretary to Central 1 Trust Company and other C1 entities as assigned and Supporting Central 1’s Board of Directors in fulfilling its governance responsibilities.- Ensuring the organization follows best practices, its governance structure, and provincial and federal regulations.- Ensuring members follow procedures before, during, and after official board meetings.- Liaising with the chairperson, board, and C1’s leadership and effectively support strong management and board interactions and relations.- Providing notice of, attend and direct arrangements for recording of minutes of all meetings of members, the Board and Board Committees.- Leading the direction, coordination, and distribution of all communications and reports to the Board
What you’ll have- 8+ years relevant experience as a lawyer or a corporate secretary- Expertise in corporate law and governance- Expertise in securities law preferred- Knowledge of federal and provincial financial services regulation- Certification as a governance professional preferred- Management experience preferred.- Experience in working with Senior Leadership levels with ability to build strong relationships.- Ability to work collaboratively, think practically and use sound judgment.- Practical, results-oriented approach combined with strong interpersonal and communication skills.- Ability to work independently and reliably under tight timeframes in a dynamic & varied environment.- Strong organizational and client service skills.
