**What will you be doing**
- Providing advice to Science & Technology project teams, business development members and management on legal issues, with a special focus on issues relating to intellectual property issues and commercial and contracting with customers and partnering counterparts on business projects
- Leading the formulation, negotiation, legal review of commercial contractual documents
- Drafting and providing advice on the drafting of customer and commercial contractual documentation
- Formulating strategy for successful contracting with customers and partners on collaborations, commercial ventures and technology sharing, partnering and transfer matters
- Providing advice on contracting strategy, issues and implementation
- Providing legal support to CNL’s BD and S&T organization throughout the contractual lifecycle
- Identifying and participating in the implementation and management of proactive approaches to procurement in order to prevent or mitigate legal risks for CNL in the BD process
- Assisting in advising on intellectual property matters, including negotiating and drafting agreements to protect and clearly define ownership and licensing of intellectual property as between CNL and its partner and customers

**What we are looking for**:

- Practicing Lawyer, Member in good standing with Law Society within Canada
- At least 3-5 years post call experience
- Experience in advising business development and commercial or sales organizations, including negotiation and drafting of commercial agreements, including experience in purchase and sale, partnering, technology transfer or joint venture agreements
- Sound knowledge of procurement, corporate commercial and purchasing and business best practices
- Ability to manage requests from multiple business clients in a fast-paced environment while paying attention to detail
- A solid understanding of business fundamentals and a proven ability to make decisions and provide legal advice to ensure project decisions are made for sound business and legal reasons
- Effective communication skills required to contribute to discussions and presentations within a large and complex organization
- Effective analytical skills are required to contribute to contractual negotiations
- Commercial and business development focus in a research and development, manufacturing, or technology field
- Experience with supplier side issues in negotiating agreements in an R&D, engineering or other commercial sector preferred
- Good understanding of intellectual property framework, including providing advice on IP matters relating to services and other commercial agreements with third parties

**Security clearance eligibility required**:Reliability Status with Site Access Security Clearance (SASC), which has a minimum requirement of 3 years of verifiable history in Canada, Australia, New Zealand, United States and/or the United Kingdom.
