You will provide legal administrative support to the general manager legal affairs corporate team.
Minimum Requirements:
- Graduated with a legal assistant diploma at an accredited school- Eight years of experience working in a team environment within a corporate department- CORES Levels I, II and III required- Must be highly skilled in Microsoft Word- Comfortable filing annual returns for Alberta and extra-provincial corporations, registration of trade name and standard partnership- Filing notices of change for the corporation address, lawyers and directors- Comfortable preparing documents relating to incorporation, organization amendments, reorganizations, continuances and amalgamations- Demonstrated Knowledge preparing documents relating to share transactions, including issuance of share certificates, and updating registers- Comfortable conducting minute book reviews and preparing the necessary documents to bring minute books up to date- Have prepared documents relating to annual written resolutions in lieu of annual general meeting of directors and shareholders for each Canadian company- Ability to communicate in a professional manner with lawyers, clients and other team members- Strong organizational skills with high attention to detail and accuracy- Ability to work within tight timelines and meet deadlines.
**Responsibilities**:
- Analyze and prepare internal and external documents using precedents, statutes, and other research materials- Conduct research, retrieve, coordinate and organize legal documentation for tax audits, corporate governance, compliance, transactions, commercial dealings, and other business matters- Receive, sort, manage, maintain and prioritize legal files as well as managing the legal filing systems- Organize and maintain repository of precedents, material contracts, deadlines, and other pertinent information- Develop and perform new tasks as they are needed or arise in order to create value for the legal group- Update our key personnel tax and treasury departments- Maintain confidentiality by keeping client, attorney information confidential- AER Directive 67 (Alberta Energy Regulator requires updated corporate information whenever there is a change to ownership or directors or senior officers of companies holding exploration licenses)- Provide yearly reporting of any changes to ownership of affiliates, directors, officers and shareholdings to Statistics Canada (formerly CALURA)- Related Parties Listing - quarterly reporting of the changes to our Organizational Chart (liaise with external reporting, financial reporting, tax reporting and auditors)- Yearly Q1 Reporting to our internal groups - Insurance, Human Resources, Lobbyist, Payroll, SOX requirements, Board of Directors Committee Members and ELT reports- Secretariat - maintenance of online database holding corporate data
Corporate Assistance for U.S. Entities:
- Maintain, update, coordinate and communicate as needed for each entity’s corporate records, minute books, annual filings and other reporting requirements;- Maintain and coordinate with external service providers where necessary to ensure corporate compliance in any jurisdictions company operates;- Prepare and coordinate documents for international reports, e.g. seek, compile information for foreign corporation filings- Maintain duplicate minute books and corporate resolutions;- Update the corporate organization charts; and- Payment of invoices.
Location and other Key Details:
- You will work out of our Calgary head office, located in the Suncor Energy Centre at 150 -6th Ave S.W.- Hours of work are a regular 40-hour work week, Monday to Friday- Our business professional roles follow internal compensation guidelines and the pay band will generally be based years of experience and scope of work- Depending on the nature of the role, we have implemented a Hybrid Work Model to provide our employees flexibility.
